PART A – IMPORTANT PLEASE READ

Please read these Terms and Conditions carefully before submitting your order to us. These Terms and Conditions apply to the supply of goods by Energy Fuel UK to both business customers and consumer customers.

Depending on whether you are a business customer or a consumer customer, different rights and obligations will apply under these Terms and Conditions.

  • A business customer means a person acting for purposes relating to that person’s trade, business, craft, or profession.
  • A consumer customer means an individual acting for purposes wholly or mainly outside their trade, business, craft, or profession.

If you are a business customer, the provisions of Part B shall apply to the contract.
If you are a consumer customer purchasing directly from us, the provisions of Part C shall apply.

PART B – TERMS APPLYING TO BUSINESS CUSTOMERS ONLY

In these Conditions:

  • “Company” means Energy Fuel UK
  • “Goods” means goods or products supplied by the Company as described on the Company website or in any catalogue, quotation, invoice, or sales literature.

The Company reserves the right to amend product specifications where required by applicable laws or regulations.

1. FORMATION OF CONTRACT

1.1

All quotations, offers, and tenders are made and all orders are accepted subject to these Conditions unless otherwise agreed in writing by a director of the Company.

1.2

Orders placed via the Company website, email, telephone, or otherwise shall be treated as an offer to purchase Goods from the Company. Acceptance occurs only when the Goods are dispatched.

1.3

If there is any conflict between these Conditions and any expressly agreed written terms, the expressly agreed written terms shall prevail.

1.4

The Company reserves the right to refuse partial orders relating to quotations issued for complete product ranges or packages.

2. PRICES

2.1

Unless otherwise agreed in writing, all prices are exclusive of VAT and delivery charges.

2.2

Delivery charges shall apply at the rates shown on the Company website or quotation.

2.3

Prices may be adjusted due to supplier increases, market fluctuations, transport costs, or currency changes prior to dispatch.

2.4

If pricing errors occur, the Company reserves the right to correct such errors and contact the Customer before dispatch.

3. PAYMENT

3.1

Payment is due in full at the time of ordering unless otherwise agreed in writing.

3.2

The Company reserves the right to withhold processing or dispatch until payment has cleared.

3.3

Late payments may incur interest at 8% above the Bank of England base rate.

3.4

In the event of non-payment, the Company may:

  • Suspend deliveries
  • Terminate the contract
  • Recover costs and legal fees
  • Recover Goods where title has not passed

4. DELIVERY

4.1

Delivery times are estimates only and are not guaranteed.

4.2

The Company shall not be liable for delays caused by suppliers, couriers, force majeure events, or incomplete customer information.

4.3

Delivery may be made in instalments.

4.4

Risk in the Goods passes upon delivery.

5. RISK AND TITLE

5.1

Risk passes to the Customer upon delivery.

5.2

Title to the Goods remains with the Company until full payment has been received for all amounts due.

5.3

Until title passes:

  • The Customer shall store Goods separately
  • Goods shall remain identifiable as Company property
  • The Company may recover unpaid Goods

6. RETURNS, SHORTAGES & NON-DELIVERY

6.1

Business customers may request returns within 30 days of delivery, subject to Company approval.

6.2

Returned Goods must:

  • Be unused
  • Be in original packaging
  • Include all accessories and promotional items

6.3

Special-order or bespoke items are non-returnable unless faulty.

6.4

Claims for shortages or damage must be reported within 3 working days of delivery.

6.5

Non-delivery claims must be made within 7 days of dispatch notification.

7. QUALITY

7.1

The Company warrants that Goods shall:

  • Match their description
  • Be free from material defects
  • Be reasonably fit for intended use where specified

7.2

The Company may repair, replace, or refund defective Goods at its discretion.

7.3

The warranty does not apply where defects result from:

  • Improper installation
  • Misuse
  • Unauthorised repairs
  • Fair wear and tear
  • Failure to follow instructions

8. LIMITATION OF LIABILITY

8.1

Nothing in these Terms excludes liability for:

  • Death or personal injury caused by negligence
  • Fraud or fraudulent misrepresentation
  • Any liability that cannot legally be excluded

8.2

Subject to clause 8.1, the Company shall not be liable for:

  • Loss of profits
  • Loss of business
  • Consequential or indirect losses
  • Installation or removal costs

8.3

The Company’s total liability shall not exceed the total value of the Goods supplied under the relevant order.

9. FORCE MAJEURE

The Company shall not be liable for delays or failure caused by events beyond reasonable control including:

  • Natural disasters
  • Pandemic or epidemic
  • War or terrorism
  • Supply chain disruption
  • Government restrictions
  • Internet or utility failures

10. INTELLECTUAL PROPERTY

All content, catalogues, product descriptions, branding, images, and materials supplied by the Company remain the intellectual property of Energy Fuel UK or its licensors.

11. GOVERNING LAW

These Terms shall be governed by the laws of England and Wales and disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.

PART C – TERMS APPLYING TO CONSUMER CUSTOMERS ONLY

13. ACCEPTANCE OF ORDERS

Your order is accepted when:

  • We confirm acceptance by email; or
  • We dispatch the Goods to you

14. PRICING & PAYMENT

14.1

Prices shown on our website include VAT unless otherwise stated.

14.2

Payment is taken at the time of ordering.

14.3

If a pricing error occurs, we reserve the right to cancel the order and refund any payment made.

15. DELIVERY

15.1

Delivery charges and estimated times are shown at checkout.

15.2

We aim to dispatch orders promptly but delivery times are estimates only.

15.3

If we cannot supply within 30 days, you may cancel and receive a full refund.

16. YOUR RIGHT TO CANCEL

16.1

Under the Consumer Contracts Regulations 2013, UK consumers may cancel most online purchases within 14 days after delivery.

16.2

You must notify us of cancellation by:

  • Email
  • Telephone
  • Written notice

16.3

Returned Goods must be:

  • Unused
  • In original packaging
  • Complete with accessories

16.4

Refunds will be processed within 14 days of receiving returned Goods.

16.5

The right to cancel does not apply to:

  • Bespoke or personalised products
  • Perishable goods
  • Goods sealed for hygiene reasons once opened

17. FAULTY GOODS

17.1

If Goods are faulty, damaged, or incorrect, contact us immediately.

17.2

Your legal rights under the Consumer Rights Act 2015 remain unaffected.

18. CHANGES TO PRODUCTS

We may make reasonable changes to products:

  • To comply with legal requirements
  • To improve technical performance
  • To reflect supplier updates

19. PRIVACY

We process personal data in accordance with our Privacy Policy available on our website.

20. COMPLAINTS

If you have a complaint, please contact our customer service team and we will attempt to resolve the issue promptly.

NOTICE

Countries and jurisdictions have differing laws and regulations relating to the use and installation of fuels, heating products, solid fuels, firewood, biomass products, electrical products, and associated equipment.

The purchaser shall ensure that:

  • Products comply with the laws and regulations of the country where used
  • Installation is carried out by competent and qualified persons where required

WASTE ELECTRICAL AND ELECTRONIC EQUIPMENT (WEEE)

Where applicable, Energy Fuel UK offers collection or recycling support for qualifying electrical products in accordance with UK WEEE Regulations.
